Governance & Compliance Officer, Part Time – 3 days a week or equivalent, 1 year fixed-term contract

Christ Church Cathedral (founded c. 1028) is the spiritual heart of the city, an Anglican Cathedral, a registered charity and one of the top visitor attractions in Dublin. The cathedral is also popular as a venue for concerts, gala dinners and other events.

The cathedral is governed by a Board and seven committees. As a registered charity, the cathedral is working towards full compliance with the Charities Regulators Governance Code. In October 2022, the Cathedral Board resolved to incorporate.  

Job Description

This is a new position at Christ Church Cathedral. The post of Governance & Compliance Officer is a Part Time 1 year contract. Tis term may be extended.

The compliance officer will be primarily responsible for:

– Maintenance of Board and Committee records

– Servicing the efficient running of Board and Committee records

– Monitoring the cathedral’s compliance with the Charities Governance Code, and assisting the work of the Board and relevant committees with same

– Assisting the work of the incorporation process and coordinating with solicitors and tax advisors engaged by the Cathedral

– Servicing and storing official communications sent by and received by the Administrator and certain Committee chairpersons.

The role will be mostly remote with attendance at in-person meetings as required. Access to reliable broadband is essential.

Main Duties & Responsibilities

– To provide administrative support to the Board and all Committees, in drafting
agenda, compiling and circulating briefs, attending meetings and drafting
minutes

 

– Providing administrative support including the Board and Committee election process, recruitment,
and induction/training processes for Board and Committees

– Assisting the Incorporation Committee with the incorporation process, including internal communications
and liaising with external advisers (legal, tax, VAT and consultation)

– Maintenance of records

– Responsibility for filing of documents with Charities Regulator (and ultimately with Companies
Registration Office)

– Ensuring consistency of agenda, minutes and documents of Board and committees, together with responsibility for their timely flow

– Monitor governance obligations, including the Charities Governance Code, organisational policies, procedures, good practice –
in particular, maintaining the Risk Register for each Board and relevant Committee meetings, maintaining Conflict of Interest Register, organising the bringing of non-compliant standards into compliance by deadlines set by the Board.

– Administrative support for general document preparation, liaison with external advisers and the flow of documents for meetings (including agenda, packs and minutes)

– Assist the Dean, Committee chairpersons and the Administrator in the preparation of presentations

 

Person Specification

– Educated to Degree level, preferably in law or finance

– Qualification or part qualification as a Chartered Secretary/Chartered Governance Professional or equivalent would be desirable

– Good understanding of financial, accounting, and legal risks

– Working and demonstrable knowledge of the CRA Governance Code

– Experience working in a Charity governance and compliance role

– Project Management experience

– Excellent organisational skills with a high degree of attention to detail

– Strong interpersonal skills and the ability to work alongside various stakeholders

– Understanding of the vision, mission and values of the Cathedral

– Excellent verbal and written communication

– Flexibility around days and hours of work.  Please note that in particular given the role of volunteers in Cathedral governance, some evening and weekend work will be required.

– Discreet and able to work confidentially

– Meticulous presentation skills and attention to detail

– Proficient in MS Office and Sharepoint

– Applicants will be obliged to complete Garda Vetting before commencement. 

 

Reporting to the Cathedral Administrator

Salary – in the region of €45,000 per annum pro rota

Christ Church Cathedral Dublin is seeking additional voluntary members of its Governance Committee, including a Committee Secretary.

The role of the Committee is to advise the Board:

(a)       generally on governance requirements applicable to the Cathedral as a charity (and any companies which may be established), and in particular to bring it into full compliance with the Charities Governance Code; and,

(b)       in 2022-2023 on the potential incorporation, and restructuring of governance, of the Cathedral Board.

The Committee advises the Board on governance. It has no delegated or executive responsibilities, save related to expenditure on governance.

Neither the Committee nor its members provide professional advice to the Board. Members of the Governance Committee are neither Board members nor Charity Trustees nor company directors.

The Cathedral is seeking a suitably experienced candidate to join our Verging team. The Vergers’ responsibility is to care for the cathedral’s upkeep, maintenance, and security and to welcome all who enter it. Vergers will be involved in preparing for and assisting in aspects of daily worship as well as contributing to the smoother operation of the cathedral as a heritage and cultural attraction welcoming thousands of pilgrims and visitors every year. Hours of work are full-time, working five days over seven days (Monday to Sunday). The department is under the care and management of the Cathedral Manager and ultimately the Dean. The post holder will be expected to work closely with several other staff and volunteers. For more information, please see here.
